1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Osage Learning LLC, a Maine limited liability corporation (“Company,” “we,” “us,” or “our”), regarding your use of our educational platform and services.


By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Description of Services

Osage Learning provides web-based educational technology solutions designed specifically for neurodivergent students in grades 6-12. Our services currently include:

  • Reading Comprehension module with adaptive accommodation frameworks
  • Additional learning modules (Spelling, Math, and Logic and Reasoning) to be released over the coming months
  • Progress tracking and performance analytics
  • Parent portal for account and student management

Our services are available exclusively through our web platform and require an internet connection.

3. Eligibility and Account Creation

3.1 Account Holder Requirements

Only parents or legal guardians may create accounts with Osage Learning. By creating an account, you represent that you are:

  • 18 years of age or older
  • A parent or legal guardian of the student(s) who will be using our services
  • Legally capable of entering into this agreement

3.2 Student Access

After creating your account, you may set up individual student logins for your children under your account. Each student requires a separate subscription to access our learning modules.


3.3 Account Security

You agree to:

  • Provide accurate, current, and complete information during account creation
  • Maintain the security and confidentiality of your account credentials
  • Not share your account credentials with anyone other than yourself
  • Notify us immediately at info@osagelearning.com of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3.4 COPPA Compliance

If your child is under 13 years of age, you acknowledge that by creating student access for them, you are providing your consent under the Children’s Online Privacy Protection Act (COPPA) for us to collect and use information from your child as described in our Privacy Policy.

4. Geographic Limitations

Our services are intended for use within the United States only. While we do not actively prevent access from other countries, we make no representations that our services comply with laws outside the United States. If you access our services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use our services solely for legitimate educational purposes for your children in accordance with these Terms.


5.2 Prohibited Uses

You may not:

  • Use the service for any unlawful purpose or in violation of any applicable laws
  • Share your account credentials with unauthorized users
  • Attempt to gain unauthorized access to our systems or other users’ accounts
  • Upload, transmit, or distribute any harmful, inappropriate, or illegal content
  • Upload copyrighted material unless you own the copyright or have proper authorization for educational use
  • Use our platform to infringe upon the intellectual property rights of others
  • Interfere with or disrupt the service or our servers/networks
  • Use the service to harass, abuse, or harm others
  • Reverse engineer, decompile, or attempt to extract source code from our platform
  • Use automated systems (bots, scrapers, etc.) without our explicit written permission
  • Violate any third-party rights, including intellectual property rights
  • Create accounts for children who are not your own without proper legal authority

6. Intellectual Property Rights

6.1 Our Content

All content, features, and functionality of our service, including but not limited to text, graphics, logos, images, software, educational methodologies, and proprietary methods, are owned by Osage Learning LLC. or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.


6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services solely for your personal, non-commercial educational use for your children.


6.3 User-Generated Content and Copyright Compliance

Any content you upload to our platform remains your property, but you grant us a limited license to process, display, and analyze such content solely for the purpose of providing our educational services to you.


Copyright Responsibility: You are solely responsible for ensuring that any content you upload to our platform complies with applicable copyright laws. By uploading content, you represent and warrant that:

  • You own the copyright to the content, or
  • You have obtained proper authorization to use the content for educational purposes, or
  • Your use of the content falls within fair use or other applicable copyright exceptions

We do not monitor user-uploaded content for copyright compliance and disclaim any responsibility for copyright infringement by users. You agree to indemnify and hold us harmless from any claims arising from your upload or use of copyrighted material.


Educational Use: While educational use may qualify for fair use protection under copyright law, you are responsible for determining whether your specific use complies with copyright requirements. We recommend consulting with legal counsel if you have questions about copyright compliance.


6.4 Restrictions

You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software.

7. Subscription and Payment Terms

  • Monthly subscription: $7 per month per module per student
  • Annual subscription: $70 per year per module per student
  • When multiple modules become available: $200 per year for all modules per student
  • All fees are exclusive of applicable taxes

7.2 Billing
  • Monthly subscriptions are billed on the anniversary of your sign-up date each month
  • Annual subscriptions are billed on the anniversary of your sign-up date each year
  • You authorize us to charge your selected payment method for all applicable fees

7.3 Payment Processing

Payments are processed by our third-party payment processor. You agree to pay all charges incurred by your account according to the pricing and billing terms in effect at the time the charges are incurred.


7.4 Failed Payments

If a payment fails, we will retry the payment daily for 5 consecutive days. If payment is not successful after 5 attempts, access to the service will be suspended until payment is received.


7.5 Price Changes

We reserve the right to modify our pricing with 30 days’ advance notice to existing subscribers. Price changes will take effect at your next billing cycle.


7.6 No Refunds

All payments are final and non-refundable, except that we may provide refunds for billing errors at our sole discretion. Please review your subscription carefully before completing your purchase.

8. Service Availability and Modifications

8.1 Service Availability

We strive to maintain continuous service availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of our service at any time, including during scheduled maintenance or due to force majeure events.


8.2 Updates and Changes

As a web-based service, we may update, modify, or enhance our platform and learning modules at any time without prior notice. These updates are automatically available to all users.

9. Account Termination

9.1 Termination by You

You may cancel your subscription at any time through your parent portal or by contacting us at info@osagelearning.com. When you cancel your subscription, you will retain access to the service through the end of your current paid billing period. You may also delete your account entirely using the delete account function in your parent portal, which will result in immediate loss of access.


9.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms or for any other reason at our sole discretion.


9.3 Effect of Termination

Upon termination:

  • If you cancel your subscription, you will retain access through the end of your current paid billing period
  • If you delete your account or we terminate your account for violations, access will immediately cease
  • You remain liable for all charges incurred prior to termination
  • We may delete your account and associated data according to our data retention policies
  • No refunds will be provided for unused subscription periods

10. Privacy and Data Collection

10.1 Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information and is incorporated into these Terms by reference.


10.2 Student Data

We collect only performance metrics relevant to the use of our educational software, including time spent using modules, answers provided, accommodations used, response times, and similar educational analytics. We do not share this data with third parties.

11. Disclaimers and Limitations

11.1 Educational Outcomes

While our services are designed to support learning for neurodivergent students, we do not guarantee specific educational outcomes, improvements in academic performance, or any particular results.


11.2 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OSAGE LEARNING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OUR SERVICES.

12. Indemnification

You agree to defend, indemnify, and hold harmless Osage Learning LLC, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from your use of our services or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maine, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Maine.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on our website and updating the “Last Updated” date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

These Terms of Service, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Osage Learning LLC regarding the use of our services.
